M&A and transactions represent an essential and substantial part of our legal services. Our M&A Team is specialised in complex Hungarian and cross-border transactions.

Our Legal Services

We offer our clients high level assistance due to the experience of our colleagues in the privatisation of the Hungarian electric power supply industry and gas industry including sale of power plants and gas supply companies representing Hungarian State Privatisation Holdings.

Our M&A Focus Group is expert in drafting and advising on transactions, contracts and warranties, in negotiations and setting up structures for all types of M&A transactions. We offer due diligence and legal counselling for our clients, mostly international companies, not only in Hungary, but also in other countries.

We provide generally the following professional services in all industry sectors:

  • Structuring of acquisitions, sales, mergers and de-mergers under corporate and tax law;
  • Preparation of and carrying out due diligences for acquirers, sellers and potential acquisition targets,
  • Drafting and negotiating confidentiality agreements, letter of intents, binding pre-contracts and sale and purchase agreements;
  • Review, counselling of and filing for regulatory approvals, including merger control;
  • Advising in cross-border mergers;
  • Organising and executing closing procedures.

Special Areas

We have significant experience in mergers, acquisitions, takeovers and restructurings usually in compressed time periods. We coordinate our M&A, Corporate Finance, Employment, Property, IP/IT, Competition Law and Tax experts, consequently, we can provide our clients creative solutions and exhaustive advice, furthermore, manage our clients' risks successfully.

Cross-border transactions

We advise our clients also in multi-jurisdictional acquisitions in Europe and assist them in structuring the acquisitions and negotiating the deals through our PMLG network.

Directive 2005/56/EC on cross-border mergers of limited liability companies is expected to be implemented into the Hungarian legislation by the end of 2007 enabling the merger of Hungarian seated companies into companies incorporated within the European Community.

Banking & Finance

Our M&A Team together with our Banking & Finance Team combine the required expertise in formation and acquisition of banks, financial institutions, advising on licence requirements and regulatory compliance.

Real Estate

Our M&A Team, in cooperation with our Real Estate Focus Group, offer our clients legal advice on all aspects of property acquisition, including share deals. We are experts in drafting and advising on contracts and warranties, in negotiations and restructuring of companies. We offer to perform due diligence of companies and/or real estate for our clients, not only in Hungary, but also in other countries. We investigate title, encumbrances and other rights or facts registered in the real estate and companies' registry, furthermore, advise clients on security systems in relation to investment projects.
