Couple of years ago we have witnessed amongst our clients a shift of interest and increasing investments to Southeast- and Eastern Europe, the search for new market possibilities raising interest in economies such as Russia, Ukraine, Romania, Bulgaria and Turkey.

Following the high demand from both our international professional network, as well as our international and Hungarian clients, in order to be able to provide the best quality legal services, in 2008 Gobert, Fest& Partners Attorneys at Law / Taxand has established its own office capabilities in Bucharest, based on the Romanian Desk from Budapest, established in 2007, headed by Anna-Maria Veres, attorney at law in Romania and European Community Counsel registered in Hungary.

This strategy gives us the flexibility to be “on the ground” whenever requested or needed by our clients and to perform legal services both from Bucharest and Budapest, as follows:

• General legal advising on the establishment, termination and changes in the data of Romanian companies;
• Advising on tax issues related to the Romanian investment;

• Conducting and legal advising on complex M&A transactions, including legal due diligence in Romania, drafting and negotiating confidentiality agreements, letter of intents, pre-contracts and sale and purchase agreements;

• Preparing and advising on various agreements related to corporate issues, labour, commercial agreements, service and supplies agreements;
• Advising investors and developers on all aspects of buying, selling, letting, developing and managing real estate, including drafting, reviewing sale and purchase contracts, pre-contracts, construction and other agreements;
• Acquisition and managing of real estates classified as historical monument;
• Advising, negotiating and drafting credit facility agreements, bilateral loans, syndicated loans and participations;
• Legal assistance and representation during litigation cases, including preparing orders to pay, tracing debtors’ assets, initiating liquidation cases against debtors, securing and enforcing claims and securities by legal actions and enforcing court and international arbitration decisions in Romania.
